BY CLICKING “BOOK", “CONFIRM", “PURCHASE", OR ANY SIMILAR BUTTON, OR BY OTHERWISE COMPLETING A TRANSACTION THROUGH THE JOURNEY PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

1. INTRODUCTION AND ACCEPTANCE

1.1 Agreement

These Booking Terms & Conditions (“Booking Terms" or “Terms") constitute a legally binding agreement between you (“you," “your," or “Guest") and Journey Rewards Inc., a Delaware corporation (“Journey," “we," “our," or “us"), governing all bookings, reservations, purchases, and transactions you make through the Journey platform, including our websites, mobile applications, and related services (collectively, the “Platform").

1.2 Incorporation of Other Policies

These Booking Terms supplement and incorporate by reference the following Journey Policies (collectively, the “Journey Policies"):

In the event of any conflict between these Booking Terms and the Journey Policies, these Booking Terms shall control with respect to booking-related matters.

1.3 Acceptance

By completing any Booking through the Platform, you represent and warrant that:

  1. You have read and understand these Booking Terms in their entirety;
  2. You have the legal capacity and authority to enter into a binding contract;
  3. You accept and agree to be bound by these Booking Terms;
  4. If booking on behalf of others, you have authority to bind all persons included in the Booking to these Terms; and
  5. All information you provide in connection with your Booking is accurate, current, and complete.

1.4 Modifications to Terms

Journey reserves the right to modify these Booking Terms at any time. Material changes will be communicated through the Platform, by email to the address associated with your account, or by other reasonable means at least thirty (30) days prior to the effective date, except where a shorter notice period is required by law or necessary to address security or fraud concerns. Your completion of a Booking after any modification constitutes acceptance of the updated Booking Terms. Bookings made prior to any modification will be governed by the Booking Terms in effect at the time of the Booking.


2. DEFINITIONS

The following terms shall have the meanings set forth below when used in these Booking Terms:

“Alliance Partner" means any hotel, resort, vacation rental property, experience provider, restaurant, spa, or other third-party service provider that participates in the Journey alliance network and offers inventory, services, credits, or experiences through the Platform.

“Booking" means any reservation, purchase, or transaction completed through the Platform, including but not limited to: (i) hotel and resort accommodations; (ii) vacation rental properties; (iii) experiences, activities, and excursions; (iv) spa credits, dining credits, and other property-based offers; (v) travel insurance and protection products; (vi) room upgrades and property enhancements; and (vii) any other products or services offered through the Platform.

“Booking Confirmation" means the written confirmation (via email, in-app notification, or both) issued by Journey containing a confirmation number and the material details of your Booking.

“Force Majeure Event" means any event or circumstance beyond the reasonable control of the affected party, including but not limited to: acts of God; natural disasters (earthquakes, floods, hurricanes, tsunamis); fire; epidemics, pandemics, or public health emergencies; war, terrorism, riots, or civil unrest; government actions, travel restrictions, advisories, or border closures; labor disputes, strikes, or lockouts; utility or telecommunications failures; cyberattacks; severe weather conditions; or any other event that could not have been reasonably anticipated or prevented.

“Host Property" means the specific Alliance Partner location where the booked accommodation, service, or experience is to be provided or fulfilled.

“Member" means an individual who has created an account and enrolled in the Journey Rewards loyalty program in accordance with the Journey Rewards Loyalty Program Terms.

“Member Wallet" means the digital account associated with a Member’s Journey account in which Journey Points are accumulated, held, and from which Points may be redeemed for eligible Bookings or transferred to a Pool Wallet.

“Nominated Property" means a property or provider that has been nominated or suggested by a Member for potential inclusion in the Journey alliance network but: (i) has not yet been formally onboarded as an Alliance Partner; (ii) has limited integration with Journey systems; or (iii) has not agreed to provide the full suite of Journey Member benefits.

“Payment Instrument" means any valid credit card, debit card, prepaid card, or other payment method that you have linked to your Journey account or provided for a specific Booking.

“Platform" means Journey’s websites (including Journey.com and all subdomains), mobile applications, and any related services, interfaces, or systems through which Bookings may be made.

“Pool Wallet" means a shared digital wallet that may contain Journey Points contributed by one or more Members for the purpose of collectively funding Bookings. Pool Wallets are subject to the pooling rules and allocation mechanisms established by the contributing Members and the Journey Rewards Loyalty Program Terms.

“Pooled Points" means Journey Points that have been contributed by one or more Members to a Pool Wallet and are available for redemption by authorized Members of that pool.


3. SCOPE OF SERVICES

3.1 Services Covered

These Booking Terms apply to all Bookings made through the Platform, including:

  1. Accommodations: Hotel rooms, resort stays, vacation rental properties, and other lodging;
  2. Experiences: Activities, excursions, tours, and curated experiences;
  3. Credits and Offers: Spa credits, dining credits, food and beverage credits, and other property-based offers or upsells;
  4. Protection Products: Travel insurance, cancellation protection, and similar products offered through third-party providers;
  5. Upgrades: Room upgrades, enhanced amenities, and property enhancements; and
  6. Other Services: Any other products or services offered through the Platform from time to time.

3.2 Services Not Covered

Journey does not currently offer or facilitate the following services, and these Booking Terms do not apply to:

  1. Airfare or flight bookings;
  2. Car rentals or ground transportation;
  3. Cruise bookings;
  4. Bundled travel packages combining air, hotel, and/or car; or
  5. Rail or bus transportation.

3.3 Journey’s Role as Platform and Merchant of Record

3.3.1 Platform Function

Journey operates as a technology platform and booking facilitator that connects you with Alliance Partners offering accommodations, experiences, and services. Journey is not a hotel operator, property manager, travel agent, or tour operator.

3.3.2 Merchant of Record

Journey is the Merchant of Record for all Bookings processed through the Platform. This means:

  1. Journey processes payments on your behalf and is responsible for the payment transaction;
  2. Charges will appear on your Payment Instrument statement as “Journey" or “Journey Rewards";
  3. Your contractual relationship for payment purposes is with Journey;
  4. The actual accommodation, service, or experience is provided by the applicable Alliance Partner or Host Property, not by Journey; and
  5. Journey does not own, operate, or control any Alliance Partner or Host Property.

3.3.3 Third-Party Fulfillment

Journey may fulfill Bookings through third-party booking providers, channel managers, global distribution systems, or directly with Alliance Partners. Regardless of the fulfillment method, Journey remains the Merchant of Record, and these Booking Terms apply.

3.3.4 No Agency Relationship

Journey does not act as your agent, fiduciary, or representative. By making the Platform available, Journey does not consent to act in any such capacity.


4. ELIGIBILITY AND ACCOUNT REQUIREMENTS

To make a Booking through the Platform, you must:

  1. Be at least eighteen (18) years of age;
  2. Be at least the age of legal majority in your jurisdiction of residence;
  3. Possess the legal capacity to enter into a binding contract; and
  4. Not be prohibited from using the Platform under any applicable law.

By completing a Booking, you represent and warrant that you meet all eligibility requirements.

4.2 Account Information

You agree to:

  1. Provide accurate, current, and complete information when creating an account and making Bookings;
  2. Promptly update your account information to maintain its accuracy;
  3. Maintain the confidentiality and security of your account credentials;
  4. Accept responsibility for all activity that occurs under your account; and
  5. Notify Journey immediately of any unauthorized use of your account or any other security breach.

4.3 Booking on Behalf of Others

If you make a Booking on behalf of another person or group, you represent and warrant that:

  1. You have the express authority to make the Booking on their behalf;
  2. You have the authority to accept these Booking Terms on their behalf;
  3. All persons included in the Booking are aware of and agree to these Terms;
  4. You will communicate all relevant terms, restrictions, policies, and requirements to all members of your booking party; and
  5. You will ensure all members of your booking party comply with these Terms and all Host Property rules.

4.4 Sanctions Compliance

You represent and warrant that:

  1. You are not identified on any U.S. government list of prohibited, sanctioned, or restricted parties (including the OFAC Specially Designated Nationals List);
  2. You are not located in, a resident of, or organized under the laws of any country subject to U.S. economic sanctions; and
  3. Your use of the Platform does not violate any applicable trade, economic, or export control laws.

4.5 Verification and Fraud Prevention

Journey reserves the right to:

  1. Request identification or additional verification at any time;
  2. Conduct fraud screening and verification checks;
  3. Share necessary data with payment partners, fraud prevention services, and Host Properties for verification and fraud prevention purposes;
  4. Limit, suspend, or terminate your access to the Platform;
  5. Cancel any Booking where fraud, abuse, or policy violations are suspected; and
  6. Take any other action reasonably necessary to protect Journey, Alliance Partners, and other users.

5. BOOKING PROCESS AND CONFIRMATION

5.1 Offer and Acceptance

When you submit a Booking request through the Platform:

  1. You are making an offer to purchase the specified accommodation, service, or experience;
  2. The offer is made at the price displayed and subject to the terms shown at checkout;
  3. Journey’s receipt of your Booking request does not constitute acceptance;
  4. A Booking is not confirmed until Journey issues a Booking Confirmation; and
  5. Journey reserves the right to accept or reject any Booking request in its sole discretion.

5.2 Booking Confirmation

5.2.1 Confirmation Requirements

A Booking is confirmed only when you receive a written Booking Confirmation from Journey (via email, in-app notification, or both) containing:

  1. A unique confirmation number;
  2. The name(s) of the Guest(s);
  3. The Host Property name and address;
  4. Check-in and check-out dates (for accommodations);
  5. A description of the booked service or experience;
  6. The total price, including all applicable taxes and fees;
  7. The applicable cancellation policy; and
  8. Any special terms or conditions.

5.2.2 Processing Time

In some cases, it may take up to forty-eight (48) hours for your confirmed Booking to be fully reflected in the Host Property’s reservation system. Until such time, you may not be able to view or manage your reservation directly with the Host Property.

5.3 Confirmation Review and Errors

5.3.1 Your Responsibility

You are responsible for reviewing your Booking Confirmation carefully and immediately upon receipt to verify that all details are accurate.

5.3.2 Error Notification

You must notify Journey within twenty-four (24) hours of receipt of any errors or discrepancies in your Booking Confirmation by contacting:

5.3.3 Failure to Notify

Failure to notify Journey of errors within the specified timeframe may limit or preclude your ability to request corrections, modifications, or refunds.

5.4 Lead Guest Communications

Journey will communicate regarding the Booking only with the lead Guest (the primary name on the Booking). This includes communications regarding amendments, cancellations, changes, and any issues arising from the Booking.


6. PRICING, FEES, AND TAXES

6.1 Displayed Pricing

6.1.1 Dynamic Pricing

All prices displayed on the Platform are quoted in the currency indicated at the time of Booking. Prices and availability are dynamic and may change at any time prior to confirmation. The price is not guaranteed until you receive a Booking Confirmation.

6.1.2 Final Price

The final price shown on the checkout page immediately prior to confirmation, including all applicable taxes and fees, is the price you will be charged upon confirmation, subject to Section 6.5 (Pricing Errors).

6.2 Taxes

6.2.1 Included Taxes

The total price of your Booking may include applicable taxes, which may include:

  1. Sales tax;
  2. Occupancy tax or room tax;
  3. Tourism tax or tourist levy;
  4. Value-added tax (VAT);
  5. Goods and services tax (GST);
  6. State, local, or municipal taxes; and
  7. Other government-imposed levies.

6.2.2 Tax Recovery Charges

In some cases, the tax amount charged includes an estimated amount to recover taxes that Journey pays to suppliers in connection with your Booking. The actual tax amounts paid by Journey to suppliers may vary from the estimated amounts.

6.2.3 Taxes Payable Locally

Some taxes and fees may not be included in the amount charged by Journey and must be paid directly to the Host Property. These may include:

  1. Local tourist taxes or city taxes collected at check-in or check-out;
  2. Resort fees or destination fees;
  3. Environmental or sustainability fees; and
  4. Other locally imposed charges.

Journey will use reasonable efforts to disclose such additional fees during the booking process, but cannot guarantee the accuracy or completeness of such disclosures, as these fees are set and collected by third parties.

6.3 Fees

6.3.1 Service Fees

Journey may charge a service fee in connection with your Booking, which will be disclosed and included in the total price shown at checkout.

6.3.2 Property Fees

Host Properties may impose additional mandatory fees, which may include:

  1. Resort fees or amenity fees;
  2. Cleaning fees (for vacation rentals);
  3. Parking fees;
  4. Pet fees;
  5. Early check-in or late check-out fees;
  6. Housekeeping fees or gratuities; and
  7. Other property-specific charges.

Such fees will be disclosed during the booking process to the extent known and may be collected by Journey or directly by the Host Property.

6.3.3 Incidental Charges

You are solely responsible for all incidental charges incurred during your stay, including but not limited to:

  1. Minibar or in-room purchases;
  2. Room service;
  3. Telephone calls;
  4. Pay-per-view or entertainment charges;
  5. Spa services or treatments (beyond pre-purchased credits);
  6. Food and beverage (beyond pre-purchased credits);
  7. Damage to property; and
  8. Any other charges not included in your Booking.

6.4 Currency

6.4.1 Display Currency

Prices may be displayed in your preferred currency or a default currency for your convenience. The display currency may differ from the currency in which your Payment Instrument is charged.

6.4.2 Currency Conversion

If your Payment Instrument is denominated in a different currency than the Booking currency:

  1. Your card issuer or payment processor will determine the applicable exchange rate;
  2. The exchange rate applied may differ from the rate displayed on the Platform;
  3. Your card issuer may charge additional foreign transaction fees, currency conversion fees, or international transaction fees;
  4. The final amount charged to your Payment Instrument may vary from the amount displayed on the Platform due to exchange rate fluctuations; and
  5. Journey is not responsible for any currency conversion costs, exchange rate differences, or fees imposed by your card issuer or bank.

6.4.3 Exchange Rate Disclaimer

Currency exchange rates displayed on the Platform are based on publicly available sources and are provided for informational purposes only. These rates are not updated in real-time and should be used as estimates only. Actual rates may vary.

6.5 Pricing Errors

6.5.1 Error Correction

Journey reserves the right to correct obvious pricing errors, typographical errors, or other mistakes, whether caused by human error, system malfunction, or third-party data inaccuracies.

6.5.2 Remedies for Pricing Errors

If a pricing error is identified (before or after confirmation), Journey may, at its sole discretion:

  1. Honor the Booking at the erroneous price;
  2. Contact you to offer the opportunity to confirm the Booking at the correct price;
  3. Cancel the Booking and issue a full refund of any amounts paid; or
  4. Take any other action Journey deems appropriate.

6.5.3 Obvious Errors

An error will be considered “obvious" if a reasonable person would recognize that the price displayed was incorrect (for example, a luxury hotel room priced at $1 per night). You agree that you will have no claim against Journey for honoring or refusing to honor an obviously erroneous price.

6.6 Price Changes After Booking

Once a Booking is confirmed, the price will not change except:

  1. As a result of modifications you request (subject to availability and repricing);
  2. Due to changes in applicable taxes or government-imposed fees;
  3. Due to incidental charges or fees incurred during your stay; or
  4. As otherwise expressly permitted under these Terms.

7. PAYMENT TERMS

7.1 Payment Processing

7.1.1 Payment Processor

Payments for Bookings are processed by Journey using Stripe, Inc. as our primary payment processor. Additional payment processors may be used from time to time.

7.1.2 Card Storage and Tokenization

Your Payment Instrument information may be securely stored and tokenized using BasisTheory, Inc. in connection with your Journey Member profile to facilitate:

  1. Future Bookings;
  2. Recurring transactions;
  3. Incidental charges authorized by you;
  4. Charges required under the terms of your Booking; and
  5. Refunds or credits.

7.1.3 Security

Journey employs industry-standard security measures to protect your Payment Instrument information. However, no method of electronic transmission or storage is 100% secure, and Journey cannot guarantee absolute security.

7.2 Payment Authorization

By providing your Payment Instrument information and completing a Booking, you expressly authorize Journey to:

  1. Charge your Payment Instrument for the total Booking amount, including all applicable taxes and fees;
  2. Store your Payment Instrument information securely for future use in accordance with applicable law and our Privacy Policy;
  3. Share your Payment Instrument information with our payment processors, fraud prevention services, and, where necessary, Host Properties;
  4. Process additional charges authorized by you or permitted under the terms of your Booking (such as incidental charges, damages, or penalties);
  5. Process refunds or credits to your Payment Instrument as applicable;
  6. Re-attempt failed charges as permitted by applicable law and card network rules; and
  7. Place temporary authorization holds on your Payment Instrument for verification purposes.

7.3 Payment Timing

Depending on the Booking type and Host Property policies, payment may be collected:

  1. Pay Now: In full at the time of Booking;
  2. Deposit: As a partial deposit at the time of Booking, with the balance due prior to or upon arrival;
  3. Pay at Property: In full at the Host Property upon check-in or check-out; or
  4. Installments: In multiple installments as disclosed during the booking process.

The applicable payment timing will be clearly disclosed during the checkout process before you confirm your Booking.

7.4 Accepted Payment Methods

Journey currently accepts the following Payment Instruments:

  1. Visa;
  2. Mastercard;
  3. American Express;
  4. Discover; and
  5. Other payment methods as may be displayed during checkout.

Journey reserves the right to modify accepted payment methods at any time.

7.5 Test Authorizations

At the time of adding a Payment Instrument to your Journey account or making a Booking, you consent to Journey temporarily authorizing a small charge (typically $1.00 USD or less) on your Payment Instrument as part of our verification process. This authorization is temporary and will be released within a few business days. You will not be required to pay this amount.

7.6 Card on File and Holds

7.6.1 Security Deposits

Many Host Properties require a valid Payment Instrument on file to cover:

  1. Incidental charges;
  2. Security deposits;
  3. Potential damages; and
  4. Other charges permitted under the property’s policies.

7.6.2 Authorization Holds

You authorize the Host Property (or Journey on behalf of the Host Property) to place a temporary authorization hold on your Payment Instrument for security deposit or incidental charge purposes. The hold amount and release timing are determined by the Host Property’s policies and your card issuer’s procedures.

7.7 Failed Payments

7.7.1 Notification and Cure Period

If a charge to your Payment Instrument fails, Journey will notify you and you agree to provide an alternative valid Payment Instrument within three (3) business days of notification.

7.7.2 Consequences of Failed Payment

Failure to provide a valid Payment Instrument may result in:

  1. Cancellation of your Booking without refund;
  2. Suspension of your Journey account;
  3. Forfeiture of any deposits or prepayments;
  4. Liability for the full Booking amount; and
  5. Collection action for amounts owed.

7.7.3 Re-Attempt Authorization

You authorize Journey to re-attempt failed charges to your Payment Instrument(s) at subsequent times until successful, as permitted by applicable law and card network rules.

7.7.4 Bank Fees

Journey is not responsible for any fees, charges, or penalties imposed by your card issuer or bank as a result of failed, declined, or re-attempted transactions.

7.8 Unauthorized Transactions and Account Security

7.8.1 Notification Requirement

If you believe any transaction is incorrect, unauthorized, or fraudulent, you must notify Journey immediately by contacting:

7.8.2 Lost or Stolen Devices

If you lose any device on which the Journey app is installed or from which your Journey account may be accessed, you must notify Journey immediately by contacting [email protected].

7.8.3 Account Security

You are responsible for:

  1. Securing any device on which the Journey app is installed;
  2. Using strong, unique passwords for your account;
  3. Not sharing your account credentials with others; and
  4. Logging out of your account on shared or public devices.

7.9 Chargebacks and Disputes

7.9.1 Good Faith Resolution

You agree to make a good faith effort to resolve any payment disputes directly with Journey before initiating a chargeback, dispute, or claim with your card issuer or bank. To initiate a dispute resolution, contact [email protected].

7.9.2 Cooperation

Journey reserves the right to share transaction records, Booking details, stay validations, correspondence, and other relevant information with payment processors, card networks, and financial institutions to contest improper, fraudulent, or bad faith chargebacks.

7.9.3 Consequences of Improper Chargebacks

Initiating a chargeback in bad faith or without first attempting to resolve the dispute with Journey may result in:

  1. Suspension or termination of your Journey account;
  2. Forfeiture of any Journey Rewards or Member benefits;
  3. Collection action for amounts owed; and
  4. Legal action to recover amounts improperly charged back plus costs and fees.

8. BOOKING WITH POINTS

8.1 Points Redemption for Bookings

8.1.1 Eligible Points

Members may use Journey Points accumulated in their Member Wallet to pay for eligible Bookings through the Platform. Points redemption is subject to:

  1. The Journey Rewards Loyalty Program Terms available at Journey.com/loyalty-terms;
  2. Sufficient points balance in the Member Wallet at the time of Booking;
  3. Availability of points-eligible inventory; and
  4. These Booking Terms.

8.1.2 Pooled Points Bookings

Members may also complete Bookings using Pooled Points from a Pool Wallet. A Pool Wallet may include point contributions from one or more Member Wallets. When booking with Pooled Points:

  1. All contributing Members must have authorized the pooling of their points in accordance with the Loyalty Program Terms;
  2. The Member initiating the Booking represents that they have authority to redeem Pooled Points on behalf of all contributors;
  3. Points will be deducted from the Pool Wallet (and the underlying contributing Member Wallets) in accordance with the pool’s allocation rules; and
  4. All contributing Members are bound by these Booking Terms with respect to the Booking.

8.2 Points Hold and Deduction

8.2.1 Immediate Hold

When you initiate a Booking using Journey Points or Pooled Points, Journey will place an immediate hold on the required points from your Member Wallet or the applicable Pool Wallet. This hold:

  1. Occurs at the time you submit the Booking request;
  2. Reduces your available points balance pending confirmation;
  3. Ensures points are reserved for the transaction; and
  4. Remains in effect until the Booking is confirmed, cancelled, or expires.

8.2.2 Points Deduction

Upon Booking confirmation, the held points will be permanently deducted from your Member Wallet or Pool Wallet. This deduction is final, subject only to the cancellation and refund provisions in Section 9.

8.2.3 Failed or Cancelled Bookings

If a Booking request fails or is cancelled before confirmation, the points hold will be released and your available balance restored, typically within twenty-four (24) to seventy-two (72) hours.

8.3 Points Bookings and Cash Equivalence

8.3.1 Same Terms Apply

Bookings made with Points are subject to all the same terms, conditions, and policies as cash-based Bookings, including but not limited to:

  1. Pricing, fees, and taxes (Section 6);
  2. Cancellation and refund policies (Section 9);
  3. Modification policies (Section 10);
  4. Guest responsibilities (Section 12); and
  5. All other provisions of these Booking Terms.

8.3.2 Taxes and Fees on Points Bookings

When booking with Points:

  1. The Points redemption value covers the base accommodation or service cost;
  2. Applicable taxes and fees may be charged separately to your Payment Instrument, including sales tax, occupancy tax, service fees, and other mandatory charges;
  3. Some taxes and fees may be collected directly by the Host Property and are not included in the Points redemption, including resort fees, destination fees, local tourist taxes, and other property-imposed charges; and
  4. You are responsible for all incidental charges incurred during your stay, which must be paid separately.

8.3.3 Points Plus Cash

Some Bookings may allow a combination of Points and cash payment (“Points Plus Cash"). In such cases:

  1. The available Points in your Wallet will be applied first;
  2. The remaining balance will be charged to your Payment Instrument;
  3. Both the Points portion and cash portion are subject to these Booking Terms; and
  4. Refunds for cancelled Bookings will be returned in the same form (Points to Wallet, cash to Payment Instrument).

8.4 Points Refunds for Cancelled Bookings

8.4.1 Refundable Bookings

If you cancel a Points-based Booking within the applicable cancellation window:

  1. Points will be restored to your Member Wallet or Pool Wallet;
  2. Any taxes or fees paid by cash will be refunded to your Payment Instrument;
  3. Refund timing is subject to Section 9.6; and
  4. Restored points will be subject to their original expiration dates (if any).

8.4.2 Non-Refundable Bookings

If you cancel a Points-based Booking outside the cancellation window or if the Booking was designated as non-refundable:

  1. Points will be forfeited in accordance with the cancellation policy displayed at checkout;
  2. No Points will be restored to your Wallet;
  3. Any non-refundable taxes or fees paid by cash will not be refunded; and
  4. The forfeiture is final and not subject to appeal except as required by applicable law.

8.4.3 Cancellation by Journey or Host Property

If Journey or a Host Property cancels your confirmed Points-based Booking (other than due to your breach), your Points will be fully restored to your Member Wallet or Pool Wallet.

8.5 Card on File for Points Bookings

8.5.1 Property Requirements

Even when booking with Points, many Host Properties require a valid credit or debit card on file to cover:

  1. Incidental charges during your stay;
  2. Security or damage deposits;
  3. Taxes and fees not covered by the Points redemption;
  4. Resort fees, parking, or other property charges;
  5. Minibar, room service, or other in-room purchases; and
  6. Any amounts owed due to early departure, no-show, or policy violations.

8.5.2 Authorization to Share Card with Alliance Partners

By saving your Payment Instrument to your Journey account and completing a Booking, you expressly authorize Journey to share your stored Payment Instrument information with Alliance Partner hotels for the purpose of placing your card on file with the Host Property, subject to the following conditions:

  1. Journey will only share your Payment Instrument information with Alliance Partners that can receive such information securely through BasisTheory’s secure tokenization and transmission infrastructure;
  2. Your card information will be transmitted using industry-standard encryption and security protocols;
  3. The Host Property will use your card information solely for the purposes disclosed in Section 8.5.1;
  4. Journey is not responsible for the Host Property’s handling of your card information after secure transmission, and you agree to review the Host Property’s privacy policy regarding payment data;
  5. You may withdraw this authorization at any time by removing your saved Payment Instrument from your Journey account, provided that such withdrawal will not affect cards already on file with Host Properties for existing Bookings; and
  6. If you do not wish to have your card shared with Alliance Partners, you may decline to save your card to Journey and instead provide card information directly to the Host Property upon check-in.

8.5.3 Charges by Host Property

You authorize the Host Property to charge your card on file for all legitimate charges incurred during your stay or as permitted under the Host Property’s policies. Journey is not a party to these charges and is not responsible for disputes between you and the Host Property regarding such charges.

8.6 Points Value and No Cash Redemption

8.6.1 Points Have No Cash Value

Journey Points have no cash value and cannot be:

  1. Redeemed for cash;
  2. Sold, bartered, or transferred for value;
  3. Used as legal tender; or
  4. Converted to any form of currency or stored value.

8.6.2 Redemption Value

The redemption value of Points (i.e., the dollar equivalent applied toward a Booking) is determined by Journey and may vary based on the Booking type, property, dates, and other factors. Journey reserves the right to modify Points redemption values at any time.

8.6.3 Points Expiration

Points are subject to expiration as set forth in the Journey Rewards Loyalty Program Terms. Expired Points cannot be used for Bookings and will not be restored.


9. CANCELLATION AND REFUND POLICY

9.1 Cancellation Policy Disclosure

IMPORTANT: READ THIS SECTION CAREFULLY.

9.1.1 Property-Specific Policies

Cancellation policies vary by Booking and are determined by the Host Property or service provider. The specific cancellation policy applicable to your Booking will be:

  1. Clearly displayed during the checkout process before you confirm your reservation;
  2. Included in your Booking Confirmation; and
  3. Available for review in your account.

9.1.2 Your Responsibility

You are solely responsible for reviewing and understanding the cancellation policy before completing your Booking. By completing a Booking, you acknowledge that you have read, understood, and agree to the applicable cancellation policy.

9.2 Cancellation Deadlines

9.2.1 Time Zone

Unless otherwise specified, cancellation deadlines are calculated based on:

  1. The time zone of the Host Property; or
  2. 11:59 PM local time at the Host Property on the date specified.

9.2.2 Submission Requirements

All cancellation requests must be submitted:

  1. Through the Platform via your account; or
  2. By contacting Journey customer support at:

Cancellation requests made directly to the Host Property without notifying Journey may not be honored or may result in additional fees.

9.3 Refund Limitations

9.3.1 No Refunds Outside Cancellation Windows

NO REFUNDS WILL BE PROCESSED OUTSIDE OF THE CANCELLATION WINDOWS DISPLAYED AT CHECKOUT.

If you fail to cancel within the applicable cancellation window, you will be charged the cancellation fee specified in the booking terms, which may be up to one hundred percent (100%) of the total Booking amount.

9.3.2 Non-Refundable Bookings

Bookings designated as “Non-Refundable," “Final Sale," or similar terms at the time of Booking are not eligible for refund under any circumstances, regardless of the reason for cancellation, except as may be required by applicable law.

9.3.3 Partial Stays

If you cancel after the cancellation deadline or depart early, no refund will be provided for unused nights or services unless the applicable cancellation policy expressly provides otherwise.

9.4 No-Show Policy

9.4.1 Definition

A “no-show" occurs when you fail to check in on the scheduled arrival date without prior cancellation.

9.4.2 Consequences

If you no-show:

  1. You will be charged the full Booking amount (or the amount specified in the cancellation policy);
  2. You will not be entitled to any refund;
  3. Your entire Booking (including subsequent nights) may be cancelled; and
  4. You will remain liable for any cancellation fees or penalties.

9.4.3 Late Arrival

If you no-show for the first night of a multi-night reservation but intend to check in for subsequent nights, you must contact Journey immediately to confirm the modified reservation. Failure to do so may result in cancellation of the entire Booking without refund.

9.5 Early Departure

Refunds for early departure (checking out before the scheduled departure date) are subject to the Host Property’s early departure policy as disclosed at the time of Booking. Most Host Properties do not offer refunds for early departure.

9.6 Refund Processing

9.6.1 Processing Time

Approved refunds will be processed to the original Payment Instrument within five to twenty (5-20) business days of the cancellation notification, depending on:

  1. Journey’s processing time (typically 3-5 business days); and
  2. Your card issuer’s processing time (varies by institution).

9.6.2 Refund Method

Refunds will be issued to the original Payment Instrument used for the Booking. If the original Payment Instrument is no longer valid or available, Journey will work with you to identify an alternative refund method.

9.6.3 Delays

Journey is not responsible for delays caused by your financial institution, card network, or other third parties.

9.7 Cancellations by Journey or Host Property

9.7.1 Circumstances

In rare circumstances, Journey or a Host Property may need to cancel a confirmed Booking due to:

  1. Overbooking;
  2. Property closure or unavailability;
  3. Significant property changes or renovations;
  4. Safety or security concerns;
  5. Force Majeure Events; or
  6. Other circumstances beyond reasonable control.

9.7.2 Notice

Journey will use reasonable efforts to notify you as soon as practicable if your Booking must be cancelled.

9.7.3 Remedies

If Journey or a Host Property cancels your confirmed Booking (other than due to your breach of these Terms), Journey will:

  1. Offer alternative accommodations of comparable or superior quality, subject to availability; or
  2. Provide a full refund of amounts paid to Journey for the cancelled Booking.

9.7.4 Limitation

Journey is not responsible for any incidental, consequential, or indirect costs resulting from cancellation, including but not limited to:

  1. Transportation costs (flights, car rentals, ground transportation);
  2. Alternative lodging costs;
  3. Lost wages or time off work;
  4. Non-refundable prepaid expenses;
  5. Visa or travel document costs; or
  6. Any other costs or damages.

9.8 Alliance Partner Exit

If an Alliance Partner ceases participation in the Journey network or withdraws inventory after a Booking is confirmed:

  1. Journey will use reasonable efforts to re-accommodate you at an alternative property or obtain a refund from the Alliance Partner;
  2. Journey does not guarantee that the original rate, room type, benefits, or awards will be honored by the former Alliance Partner; and
  3. Journey’s liability is limited to refunding amounts Journey holds for the affected Booking.

10. MODIFICATIONS TO BOOKINGS

10.1 Member-Initiated Modifications

12.1.1 Modification Requests

Requests to modify a confirmed Booking (such as changes to dates, room type, number of guests, or services) must be submitted:

  1. Through the Platform via your account; or
  2. By contacting Journey at [email protected] or 1 (888) 990-4712.

11.1.2 Availability and Repricing

All modifications are subject to:

  1. Availability at the time of the modification request;
  2. The Host Property’s modification policies;
  3. Repricing based on current rates (which may be higher or lower than the original rate); and
  4. Any applicable modification or administrative fees.

11.1.3 Non-Modifiable Bookings

Some Bookings may not be modifiable. This will be disclosed at the time of Booking.

10.1.4 Treatment as Cancellation

Certain modifications may be treated as a cancellation of the original Booking and a new reservation, subjecting you to the applicable cancellation policy for the original Booking.

10.2 Modifications by Host Property or Journey

12.2.1 Minor Changes

Host Properties may occasionally make minor changes to your Booking (such as a different room within the same category) without prior notice. Journey will endeavor to notify you of such changes when practicable.

12.2.2 Material Changes

If a material change to your Booking is required (such as a change to a different property, a significant change in room category, or a change in dates), Journey will:

  1. Notify you as soon as practicable;
  2. Offer you the option to accept the modified Booking;
  3. Offer alternative accommodations of comparable or superior quality, subject to availability; or
  4. Cancel the Booking for a full refund.

12.2.3 Response Requirement

If Journey notifies you of a material change, you must respond within three (3) days of receiving the notification. If you do not respond, Journey may assume you wish to cancel the Booking and receive a full refund.


11. JOURNEY MEMBER BENEFITS AND PERKS

11.1 Availability of Benefits

12.1.1 Program Terms

Journey Member benefits, perks, awards, and recognition are subject to the Journey Rewards Loyalty Program Terms available at Journey.com/loyalty-terms.

11.1.2 Types of Benefits

Benefits may include, depending on membership tier and property participation:

  1. Room upgrades (subject to availability);
  2. Welcome amenities;
  3. Food and beverage credits;
  4. Spa credits;
  5. Early check-in (subject to availability);
  6. Late check-out (subject to availability);
  7. Priority reservations;
  8. Complimentary Wi-Fi;
  9. Loyalty points or rewards; and
  10. Other perks as described in the loyalty program materials.

11.1.3 Subject to Availability

All benefits are subject to availability and may vary by property, date, room type, and other factors. Benefits that are “subject to availability" (such as upgrades, early check-in, and late check-out) cannot be guaranteed and are provided at the sole discretion of the Host Property.

11.2 Nominated Properties

IMPORTANT NOTICE REGARDING NOMINATED PROPERTIES:

12.2.1 Limited Benefits

Certain Journey Member benefits or perks may not be available at Nominated Properties.

12.2.2 Nominated Property Status

Nominated Properties are properties that:

  1. Have been suggested for inclusion in the Journey network by Members or Journey staff;
  2. May not have completed the full Alliance Partner onboarding process;
  3. May have limited integration with Journey systems; or
  4. May not have agreed to provide Journey Member benefits.

12.2.3 Disclosure

The availability of Member benefits at any property will be indicated during the booking process. If a property is a Nominated Property or if certain benefits are not available, this will be disclosed before you confirm your Booking.

11.3 Non-Guaranteed Benefits

Journey endeavors to secure Member benefits at Alliance Partner properties. However:

  1. Certain benefits (such as room upgrades and late check-out) are subject to availability at the time of check-in;
  2. Host Properties have sole discretion over the provision of availability-based benefits;
  3. Journey is not liable if a Host Property is unable to provide a particular benefit due to capacity constraints, operational requirements, or other factors; and
  4. Failure to receive a non-guaranteed benefit does not entitle you to any refund, compensation, or credit.

11.4 Benefit Redemption

Benefits and awards are personal to the Member and may not be transferred, sold, bartered, or exchanged. Any attempt to do so may result in forfeiture of benefits and suspension or termination of your Journey account.


12. GUEST RESPONSIBILITIES AND CONDUCT

12.1 Compliance with Property Rules

You agree to comply with all rules, policies, regulations, and requirements of the Host Property, including but not limited to:

  1. House rules and guest policies;
  2. Noise policies and quiet hours;
  3. Pet policies;
  4. Smoking and vaping policies;
  5. Occupancy limits;
  6. Check-in and check-out times;
  7. Pool, spa, fitness center, and amenity rules;
  8. Parking rules;
  9. Age restrictions for certain facilities; and
  10. Any other rules communicated by the Host Property.

12.2 Conduct Standards

12.2.1 Expected Conduct

You agree to conduct yourself, and ensure all members of your booking party conduct themselves, in a respectful, lawful, and responsible manner during the Booking and stay.

12.2.2 Prohibited Conduct

You may not:

  1. Engage in illegal, criminal, or fraudulent activity;
  2. Harass, threaten, abuse, or harm others;
  3. Damage, destroy, or deface property;
  4. Create excessive noise or disturbances;
  5. Violate Host Property rules or policies;
  6. Exceed the stated occupancy limit;
  7. Allow unauthorized persons to use the accommodation;
  8. Sublet, re-sell, or transfer your Booking;
  9. Use the accommodation for commercial purposes (unless expressly permitted);
  10. Possess or use illegal substances; or
  11. Engage in any other conduct that Journey or the Host Property deems unacceptable.

12.2.3 Consequences

Journey and/or the Host Property reserve the right to:

  1. Refuse service or deny check-in;
  2. Evict you from the property without refund;
  3. Charge you for damages, additional cleaning, or penalties;
  4. Report conduct to law enforcement;
  5. Suspend or terminate your Journey account; and
  6. Pursue legal action.

12.3 Damages and Liability

12.3.1 Responsibility for Damages

You are financially responsible for any damage, loss, or theft to the Host Property or its contents caused by you, members of your booking party, or your invitees during your stay.

12.3.2 Authorization to Charge

You authorize the Host Property (or Journey on behalf of the Host Property) to charge your Payment Instrument on file for the cost of:

  1. Repairs or replacement of damaged items;
  2. Additional cleaning required beyond normal turnover;
  3. Missing items;
  4. Fines or penalties imposed by the property (such as smoking fines); and
  5. Any other charges permitted under the Host Property’s policies.

12.3.3 Disputes

If you dispute any damage charge, you agree to cooperate with Journey and the Host Property in good faith to investigate and resolve the matter.

12.4 Travel Documentation

12.4.1 Your Responsibility

You are solely responsible for ensuring that you and all members of your booking party have:

  1. Valid passports with adequate remaining validity;
  2. Required visas, entry permits, or travel authorizations;
  3. Required health documentation (vaccinations, test results, health declarations);
  4. Any other documentation required by your destination, transit countries, or the Host Property.

12.4.2 No Advice

Journey does not provide legal, visa, or immigration advice. Requirements vary by destination and nationality and may change without notice. You should consult the appropriate embassy, consulate, or government authority for current requirements.

12.4.3 No Liability

Journey is not responsible if you are:

  1. Denied boarding on transportation;
  2. Denied entry to any country or territory;
  3. Refused service by a Host Property; or
  4. Otherwise unable to complete your travel due to inadequate documentation.

13. INSURANCE AND PROTECTION PRODUCTS

13.1 Third-Party Products

Journey may offer travel insurance, trip protection, cancellation protection, or similar products through third-party insurance carriers or providers (collectively, “Protection Products").

13.2 Separate Terms

Protection Products are:

  1. Provided by third-party insurers or providers, not by Journey;
  2. Subject to separate terms, conditions, exclusions, and limitations provided by the issuing carrier or provider;
  3. Governed by the insurance policy or product agreement, not these Booking Terms; and
  4. Subject to claims procedures established by the issuing carrier or provider.

13.3 No Guarantee

Journey:

  1. Is not the insurer and does not underwrite or guarantee any Protection Product;
  2. Does not guarantee coverage or claim approval;
  3. Is not responsible for the performance, solvency, or acts of any third-party insurer or provider; and
  4. Has no liability for denied claims or coverage disputes.

13.4 Recommendation

You are encouraged to:

  1. Carefully review the full terms, conditions, and exclusions of any Protection Product before purchase;
  2. Ensure the coverage meets your needs; and
  3. Consider obtaining additional travel insurance from a licensed provider.

14. FORCE MAJEURE AND EXTRAORDINARY CIRCUMSTANCES

14.1 No Liability for Force Majeure

Journey shall not be liable for any failure, delay, or inability to perform its obligations under these Booking Terms if such failure, delay, or inability results from a Force Majeure Event.

14.2 Alliance Partner and Host Property Force Majeure

Alliance Partners and Host Properties are similarly excused from performance of their obligations to the extent prevented by a Force Majeure Event.

14.3 Journey’s Sole Obligation

In the event of a Force Majeure Event affecting your Booking:

  1. Journey’s sole obligation shall be to refund amounts Journey holds for services not performed; and
  2. Journey is not liable for any incidental, consequential, or indirect costs or damages, including but not limited to:
  • Transportation costs or rebooking fees;
  • Alternative accommodation costs;
  • Lost wages or vacation time;
  • Non-refundable prepaid expenses;
  • Visa or travel document costs;
  • Medical costs; or
  • Any other damages or losses.

14.4 Travel Advisories

By offering Bookings for travel to particular destinations, Journey does not represent or warrant that travel to such destinations is advisable or without risk. You are responsible for monitoring travel advisories issued by government authorities and making informed decisions about your travel.


15. DISCLAIMERS

15.1 “AS IS" and “AS AVAILABLE"

THE PLATFORM AND ALL BOOKING SERVICES ARE PROVIDED “AS IS" AND “AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

15.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOURNEY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  1. IMPLIED WARRANTIES OF MERCHANTABILITY;
  2. FITNESS FOR A PARTICULAR PURPOSE;
  3. TITLE;
  4. NON-INFRINGEMENT;
  5. QUIET ENJOYMENT;
  6. ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT;
  7. SYSTEM INTEGRATION;
  8. WORKMANLIKE EFFORT; AND
  9. WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

15.3 Third-Party Services Disclaimer

JOURNEY DOES NOT WARRANT OR GUARANTEE:

  1. The quality, safety, legality, or suitability of any accommodation, service, or experience provided by Alliance Partners or Host Properties;
  2. The accuracy of property descriptions, photos, amenity lists, ratings, or reviews;
  3. The fitness of any Host Property for your intended purpose;
  4. That any Host Property will meet your expectations;
  5. The truth or accuracy of representations made by Alliance Partners or Host Properties; or
  6. The performance, reliability, or conduct of any Alliance Partner, Host Property, or their employees, agents, or contractors.

15.4 Third-Party Content

The Platform may display content, information, descriptions, photos, ratings, reviews, and other materials provided by Alliance Partners, Host Properties, and other third parties (collectively, “Third-Party Content"). Journey:

  1. Does not author, edit, verify, or endorse Third-Party Content;
  2. Makes no representations or warranties regarding the accuracy, completeness, or reliability of Third-Party Content;
  3. Is not responsible for errors, omissions, or inaccuracies in Third-Party Content; and
  4. Is not liable for any losses or damages arising from your reliance on Third-Party Content.

15.5 No Endorsement

By offering Bookings with a particular Alliance Partner or Host Property, Journey does not:

  1. Endorse or recommend that Alliance Partner or Host Property;
  2. Make any representation about the quality of services; or
  3. Assume any liability for the acts or omissions of that Alliance Partner or Host Property.

15.6 Platform Availability

Journey does not warrant that:

  1. The Platform will be available at all times or without interruption;
  2. The Platform will be free from errors, bugs, or vulnerabilities;
  3. Defects will be corrected; or
  4. The Platform or servers are free from viruses or harmful components.

16. LIMITATION OF LIABILITY

16.1 Limitation on Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JOURNEY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE BOOKING TERMS, ANY BOOKING, OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS (US$100); OR

(B) THE TOTAL AMOUNTS PAID BY YOU TO JOURNEY FOR THE SPECIFIC BOOKING GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY.

16.2 Exclusion of Certain Damages

IN NO EVENT SHALL JOURNEY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

  1. INDIRECT DAMAGES;
  2. SPECIAL DAMAGES;
  3. INCIDENTAL DAMAGES;
  4. CONSEQUENTIAL DAMAGES;
  5. PUNITIVE DAMAGES;
  6. EXEMPLARY DAMAGES;
  7. LOSS OF PROFITS, REVENUE, OR BUSINESS;
  8. LOSS OF GOODWILL OR REPUTATION;
  9. LOSS OF DATA;
  10. LOSS OF USE;
  11. COST OF PROCUREMENT OF SUBSTITUTE SERVICES;
  12. PERSONAL INJURY OR PROPERTY DAMAGE (EXCEPT TO THE EXTENT CAUSED BY JOURNEY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT);
  13. EMOTIONAL DISTRESS; OR
  14. ANY OTHER INTANGIBLE LOSSES;

EVEN IF JOURNEY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

16.3 Application

The limitations in this Section 15 apply to:

  1. All claims arising out of or related to these Booking Terms, any Booking, or your use of the Platform;
  2. All claims against Journey, its officers, directors, employees, agents, affiliates, successors, or assigns;
  3. All theories of liability, including contract, tort (including negligence), strict liability, or any other legal or equitable theory; and
  4. All types of damages, whether direct, indirect, general, special, compensatory, consequential, or otherwise.

16.4 Essential Basis

You acknowledge and agree that:

  1. The limitations of liability in this Section 15 are a material, bargained-for basis of these Booking Terms;
  2. These limitations have been taken into account in determining the consideration given by each party;
  3. These limitations allocate risk between the parties;
  4. Without these limitations, Journey would not offer the Platform or services on the terms provided; and
  5. These limitations are fair and reasonable.

16.5 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR THE EXCLUSION OF CERTAIN WARRANTIES. TO THE EXTENT THAT SUCH LAWS APPLY, SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. IN SUCH JURISDICTIONS, JOURNEY’S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

16.6 Statute of Limitations

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE BOOKING TERMS, ANY BOOKING, OR YOUR USE OF THE PLATFORM MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE. FAILURE TO FILE WITHIN THIS TIME PERIOD SHALL RESULT IN THE PERMANENT BARRING OF SUCH CLAIM.


17. INDEMNIFICATION

17.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Journey and its officers, directors, employees, agents, contractors, affiliates, subsidiaries, successors, and assigns (collectively, the “Journey Parties") from and against any and all claims, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees, expert witness fees, and court costs) (collectively, “Claims") arising out of or related to:

  1. Your use of the Platform or any Booking;
  2. Your breach or alleged breach of these Booking Terms;
  3. Your violation or alleged violation of any applicable law, regulation, or rule;
  4. Your violation or alleged violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights;
  5. Your conduct during any stay at a Host Property;
  6. Any dispute between you and a Host Property, Alliance Partner, or any third party;
  7. Any claim by members of your booking party;
  8. Any damage to property or injury to persons caused by you or members of your booking party;
  9. Your negligence or willful misconduct; or
  10. Any content, data, or information you provide or submit through the Platform.

17.2 Defense and Settlement

Journey reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with Journey in asserting any available defenses. You may not settle any Claim without Journey’s prior written consent.


18. DISPUTE RESOLUTION AND ARBITRATION

18.1 Informal Resolution

18.1.1 Pre-Arbitration Requirement

Before initiating any formal arbitration proceeding, you agree to first contact Journey and attempt to resolve the dispute informally for at least sixty (60) days.

18.1.2 Notice of Dispute

To initiate the informal dispute resolution process, you must send a written Notice of Dispute to:

18.1.3 Contents of Notice

The Notice of Dispute must include:

  1. Your name, address, and email address;
  2. Your Journey account information (if applicable);
  3. The Booking confirmation number(s) at issue;
  4. A detailed description of the nature and basis of the dispute;
  5. The specific relief sought; and
  6. Your signature (physical or electronic).

18.1.4 Informal Resolution Period

For sixty (60) days from receipt of a complete Notice of Dispute, the parties agree to attempt to resolve the dispute informally and not to commence any arbitration proceeding. This period may be extended by mutual written agreement.

18.1.5 Condition Precedent

Compliance with this informal dispute resolution process is a condition precedent to initiating any arbitration proceeding. Any arbitration demand filed without completing this process may be dismissed without prejudice.

18.2 Agreement to Arbitrate

18.2.1 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Subject to Section 18.1, you and Journey agree that any dispute, claim, or controversy arising out of or relating to:

  1. These Booking Terms;
  2. Any Booking;
  3. Your use of the Platform;
  4. Any services provided by Journey;
  5. Any communications between you and Journey; or
  6. Any other aspect of your relationship with Journey;

(collectively, “Disputes") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except as set forth in Section 18.2.2.

18.2.2 Exceptions to Arbitration

Notwithstanding Section 18.2.1:

  1. Small Claims Court: Either party may bring an individual action in small claims court if the claim qualifies and remains within the jurisdiction of small claims court;
  2. Injunctive Relief: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or to enforce the arbitration provisions of these Terms; and
  3. Public Injunctive Relief: Claims for public injunctive relief shall proceed in court after completion of individual arbitration of all arbitrable claims for monetary and individual injunctive relief.

18.3 Class Action and Jury Waiver

18.3.1 Waiver of Jury Trial

YOU AND JOURNEY EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATED TO THESE BOOKING TERMS, ANY BOOKING, OR YOUR USE OF THE PLATFORM.

18.3.2 Waiver of Class Proceedings

YOU AND JOURNEY EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, REPRESENTATIVE ACTION, OR ANY OTHER PROCEEDING BROUGHT IN A REPRESENTATIVE CAPACITY.

18.3.3 Individual Proceedings Only

Unless both you and Journey agree otherwise in writing:

  1. The arbitrator may not consolidate more than one person’s claims;
  2. The arbitrator may not otherwise preside over any form of class, collective, or representative proceeding;
  3. The arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim; and
  4. Any relief awarded cannot affect other users of the Platform.

18.3.4 Severability of Class Waiver

If the class action waiver in this Section 18.3 is found to be unenforceable as to any particular claim or request for relief (such as a request for public injunctive relief), then that particular claim or request for relief shall be severed from the arbitration and may be litigated in court, while the remaining claims shall proceed in arbitration. If the class action waiver is found to be entirely unenforceable, then the entirety of this Section 18 (Dispute Resolution and Arbitration) shall be null and void, and the dispute shall proceed in court subject to Section 19.

18.4 Arbitration Rules and Procedures

18.4.1 Administering Organization

Arbitration shall be administered by the American Arbitration Association (“AAA") in accordance with its Consumer Arbitration Rules then in effect (the “AAA Rules"), except as modified by these Booking Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

18.4.2 Arbitrator Selection

The arbitration shall be conducted by a single neutral arbitrator selected in accordance with the AAA Rules. The arbitrator shall be a retired judge or an attorney licensed to practice law in the state of New York with experience in commercial or consumer disputes.

18.4.3 Location

Unless you and Journey agree otherwise:

  1. Arbitration hearings shall be held in New York, New York;
  2. For claims of $10,000 or less, you may choose whether the arbitration proceeds by telephone, videoconference, in person, or based solely on written submissions; and
  3. For claims over $10,000, the right to a hearing shall be determined by the AAA Rules.

18.4.4 Governing Law

The arbitrator shall apply the substantive laws of the State of New York (without regard to conflict of laws principles), applicable federal law, and these Booking Terms. The arbitrator shall not be bound by decisions in other arbitrations involving other Journey users.

18.4.5 Arbitrator’s Authority

The arbitrator shall have exclusive authority to:

  1. Resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable;
  2. Determine the rights and liabilities, if any, of you and Journey;
  3. Award any relief that would be available in a court of law; and
  4. Award attorneys’ fees and costs as provided by applicable law.

18.4.6 Award

The arbitrator shall issue a written decision including the essential findings and conclusions upon which the award is based. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The arbitrator’s award shall be final and binding.

18.5 Arbitration Fees

18.5.1 AAA Fee Schedule

Payment of arbitration fees shall be governed by the AAA Rules and its fee schedule.

18.5.2 Journey’s Contribution

If the arbitrator finds that you cannot afford to pay your share of the arbitration fees and you request Journey to pay them, Journey will consider the request in good faith and may, in its sole discretion, pay some or all of such fees.

18.5.3 Fee Shifting

If the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then:

  1. Payment of all fees will be governed by the AAA Rules; and
  2. You agree to reimburse Journey for all fees and costs previously paid on your behalf.

18.6 Mass Arbitration Procedures

18.6.1 Applicability

If twenty-five (25) or more individuals submit substantially similar Notices of Dispute or arbitration demands against Journey raising substantially similar claims, and the same or coordinated counsel represents them (a “Mass Filing"), the following procedures shall apply:

18.6.2 Bellwether Arbitrations

  1. Counsel for the claimants and Journey shall each select ten (10) cases to proceed as individual bellwether arbitrations;
  2. All other cases shall be stayed pending resolution of the bellwether arbitrations;
  3. After the bellwether arbitrations are completed, the parties shall engage in a single mediation session to attempt to resolve the remaining cases; and
  4. If the remaining cases are not resolved through mediation, they shall proceed in accordance with the AAA Rules, subject to these Terms.

18.6.3 Tolling

All applicable statutes of limitations shall be tolled for claims included in a Mass Filing from the time the first bellwether cases are selected until the claimant’s case is selected for arbitration or otherwise resolved.

18.7 Opt-Out Right

18.7.1 Opt-Out Procedure

You may opt out of this arbitration provision by sending written notice to:

18.7.2 Timing

Your opt-out notice must be postmarked within thirty (30) days of the date you first accept these Booking Terms.

18.7.3 Contents

Your opt-out notice must include:

  1. Your name;
  2. Your mailing address;
  3. Your email address associated with your Journey account;
  4. A clear statement that you wish to opt out of the arbitration provision; and
  5. Your signature.

18.7.4 Effect of Opt-Out

If you validly opt out:

  1. The opt-out applies only to you and not to any other person;
  2. Journey will not retaliate against you for opting out;
  3. All other provisions of these Booking Terms remain in full effect; and
  4. Any Disputes between you and Journey shall be resolved in accordance with Section 19 (Governing Law and Jurisdiction).

18.8 Survival

This Section 18 shall survive termination of your account, cancellation of any Booking, and any termination or expiration of these Booking Terms.


19. GOVERNING LAW AND JURISDICTION

19.1 Governing Law

These Booking Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles, except that the Federal Arbitration Act, 9 U.S.C. §§ 1-16, shall govern the interpretation and enforcement of Section 18 (Dispute Resolution and Arbitration).

19.2 Exclusive Jurisdiction

If for any reason Section 18 (Dispute Resolution and Arbitration) is found to be inapplicable or unenforceable as to any Dispute, or if you have validly opted out of arbitration, you and Journey irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for the resolution of any such Disputes.

20.3 Waiver of Objections

You and Journey each waive any objection to jurisdiction and venue in the courts specified in Section 19.2, including any objection based on forum non conveniens.


20. GENERAL PROVISIONS

20.1 Entire Agreement

These Booking Terms, together with the Journey Policies incorporated herein by reference and any additional terms presented to you at the time of a specific Booking, constitute the entire agreement between you and Journey with respect to Bookings and supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether oral or written.

20.2 Severability

If any provision of these Booking Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable:

  1. The remaining provisions shall continue in full force and effect;
  2. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the parties’ original intent; and
  3. If modification is not possible, the provision shall be severed and the remaining provisions shall be enforced.

20.3 Waiver

No failure or delay by Journey in exercising any right, power, or remedy under these Booking Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy or the exercise of any other right, power, or remedy. No waiver shall be effective unless in writing and signed by an authorized representative of Journey.

20.4 Assignment

20.4.1 Your Assignment

You may not assign, transfer, or delegate these Booking Terms or any of your rights or obligations hereunder without Journey’s prior written consent. Any attempted assignment in violation of this Section shall be void.

20.4.2 Journey’s Assignment

Journey may freely assign or transfer these Booking Terms or any of its rights or obligations hereunder to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without notice to you or your consent.

20.5 Notices

20.5.1 Notices to You

Journey may provide notices to you by:

  1. Email to the address associated with your account;
  2. In-app notification;
  3. Posting on the Platform; or
  4. Any other method reasonably calculated to provide actual notice.

You consent to receive electronic communications from Journey, and you agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

20.5.2 Notices to Journey

20.6 Relationship of Parties

Nothing in these Booking Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Journey. Journey is an independent contractor.

20.7 Third-Party Beneficiaries

Except as expressly set forth herein, these Booking Terms do not create any third-party beneficiary rights in any person or entity.

20.8 Headings

Section headings are for convenience only and shall not affect the interpretation of these Booking Terms.

20.9 Language

These Booking Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall control.

20.10 Survival

The following provisions shall survive termination or expiration of these Booking Terms: Sections 2 (Definitions), 7.9 (Chargebacks and Disputes), 8 (Cancellation and Refund Policy), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 17 (Dispute Resolution and Arbitration), 18 (Governing Law and Jurisdiction), 19 (General Provisions), and any other provisions that by their nature should survive.
